Please read these Terms of Service and Disclaimer carefully before accessing, browsing, registering for, prescribing through, placing an order through, or otherwise using the aiCurePath Prescription Portal.
This website is intended only for use by licensed healthcare practitioners, including licensed Traditional Chinese Medicine practitioners, doctors, or other authorized healthcare professionals, for the purpose of prescribing or recommending medications, herbal products, supplements, or related products for their own patients.
This website is not a public marketplace. It is not intended for general public browsing, self-diagnosis, self-prescription, or independent product purchasing without a qualified practitioner’s involvement.
By accessing, registering for, prescribing through, placing an order through, or continuing to use this website, you confirm that you have read, understood, and agreed to these Terms of Service and Disclaimer.
If you do not agree with any part of these Terms, you must not access or use this website.
1. Definitions
For the purposes of these Terms:
“aiCurePath,” “Platform,” “we,” “our,” or “us” means aiCurePath Health Platform Inc. / aiCurePath Health Inc.
“Prescription Portal” or “Portal” means the aiCurePath website, prescription page, order submission system, payment tools, communication tools, product display tools, and related technology services used by practitioners to prescribe or recommend products for patients.
“Practitioner” means a licensed doctor, licensed Traditional Chinese Medicine practitioner, or other healthcare professional authorized to prescribe, recommend, or order products for patients within their legal scope of practice.
“Patient” means the individual for whom the Practitioner issues a prescription, recommendation, or product order.
“Supplier” or “Fulfillment Provider” means the independent product supplier, pharmacy, herbal product provider, or fulfillment service provider responsible for preparing, packaging, dispensing, shipping, or delivering the prescribed product.
2. Acceptance by Access or Continued Use
By accessing, browsing, registering for, prescribing through, placing an order through, submitting patient information through, or continuing to use the aiCurePath Prescription Portal, you acknowledge and agree that you have read, understood, and accepted these Terms.
Your continued use of the Portal constitutes your full agreement to be bound by these Terms, including all disclaimers, limitations of liability, practitioner responsibilities, patient responsibilities, supplier responsibilities, privacy provisions, payment provisions, and dispute resolution terms.
If you are using the Portal on behalf of a clinic, professional corporation, practitioner group, supplier, or other organization, you represent that you have authority to bind that organization to these Terms.
3. Prescription Portal Role: Technology Provider Only
aiCurePath is a healthcare technology platform only.
The Portal may provide technology tools to support:
- Practitioner access and prescription submission;
- Product listing and product information display;
- Patient information entry;
- Prescription or order management;
- Order transmission to suppliers or fulfillment providers;
- Payment processing coordination;
- Communication between practitioners, patients, suppliers, and fulfillment providers;
- Administrative and operational support related to prescription-based product orders.
aiCurePath is not a hospital, clinic, pharmacy, drug manufacturer, herbal medicine manufacturer, importer, wholesaler, dispensing entity, or healthcare provider.
aiCurePath does not manufacture, prescribe, dispense, compound, package, store, ship, deliver, or directly sell medications, herbal medicines, supplements, or other healthcare products.
Any products made available through the Portal are prescribed or recommended by independent Practitioners and fulfilled by independent suppliers or fulfillment providers unless expressly stated otherwise in writing.
4. No Medical Advice by aiCurePath
aiCurePath does not provide medical advice, diagnosis, treatment, prescriptions, or healthcare services.
All consultations, assessments, diagnoses, treatment recommendations, prescriptions, dosage instructions, contraindication reviews, and follow-up care are provided solely by the independent Practitioner.
aiCurePath does not:
- Practice medicine;
- Practice Traditional Chinese Medicine;
- Provide medical diagnosis;
- Prescribe medications, herbs, supplements, or treatments;
- Determine whether a product is appropriate for a patient;
- Review or approve practitioner prescriptions;
- Guarantee treatment outcomes, clinical results, or health outcomes.
Any product description, herbal reference, health-related information, AI-generated suggestion, or educational content displayed on the Portal is for informational and operational support purposes only. It must not be treated as medical advice or as a substitute for the independent judgment of a qualified healthcare practitioner.
5. Licensed Practitioner Use Only
The prescription functions of the Portal are intended only for licensed and authorized Practitioners.
By using the Portal as a Practitioner, you represent and warrant that:
- You hold an active and valid professional license, registration, certificate, or authorization;
- You are in good standing with your applicable regulatory body;
- You are legally authorized to assess patients and prescribe or recommend the relevant products;
- You will use the Portal only within your professional scope of practice;
- You will comply with all applicable laws, regulations, professional standards, ethical duties, and regulatory requirements.
aiCurePath may request proof of license, registration, professional standing, identity, insurance, or other credentials at any time.
aiCurePath may suspend or terminate Portal access if a Practitioner’s license is expired, suspended, restricted, revoked, under investigation, or otherwise not in good standing.
6. Independent Practitioner Status
Practitioners using the Portal are independent healthcare professionals.
Practitioners are not employees, agents, partners, representatives, franchisees, or joint venture partners of aiCurePath.
Nothing in these Terms creates an employment relationship, agency relationship, partnership, joint venture, fiduciary relationship, or clinical supervision relationship between aiCurePath and any Practitioner.
Each Practitioner exercises independent professional and clinical judgment at all times.
aiCurePath does not supervise, control, direct, or influence any Practitioner’s clinical decisions, treatment recommendations, prescriptions, patient assessments, or professional judgment.
7. Practitioner Clinical Responsibility
The Practitioner is solely responsible for all healthcare services provided to the Patient through or in connection with the Portal.
This includes, but is not limited to:
- Patient intake and assessment;
- Diagnosis and differential diagnosis;
- TCM pattern identification, where applicable;
- Treatment planning;
- Herbal prescription decisions;
- Medication or supplement recommendations;
- Dosage, frequency, and duration instructions;
- Contraindication screening;
- Drug-herb interaction review;
- Allergy review;
- Pregnancy and breastfeeding precautions;
- Pediatric, elderly, or high-risk patient precautions;
- Patient education;
- Informed consent;
- Follow-up care;
- Medical documentation;
- Recordkeeping;
- Compliance with professional standards.
The Practitioner acknowledges that aiCurePath does not review, approve, verify, guarantee, or assume responsibility for any clinical decision made by the Practitioner.
8. Prescription Responsibility
All prescriptions, herbal recommendations, product selections, and treatment-related instructions submitted through the Portal are the sole responsibility of the Practitioner.
The Practitioner represents and warrants that every prescription or recommendation submitted through the Portal is:
- Clinically appropriate;
- Based on the Practitioner’s independent patient assessment;
- Legally authorized;
- Within the Practitioner’s professional scope of practice;
- Supported by adequate patient information;
- Consistent with applicable laws, regulations, regulatory standards, professional standards, and ethical obligations.
The Practitioner must not issue prescriptions, product recommendations, or treatment instructions without sufficient patient assessment, informed consent, and appropriate clinical documentation.
aiCurePath does not verify whether any product, formula, dosage, treatment plan, contraindication review, or prescription is appropriate for a specific patient.
9. Patient Consent and Disclosure
The Practitioner is responsible for ensuring that each Patient receives and understands all required notices, disclosures, and consents before any consultation, prescription, product order, or treatment recommendation.
These may include, where applicable:
- Informed consent;
- Telehealth or telewellness consent;
- Privacy notice;
- AI-assistance disclosure;
- Product-use instructions;
- Risks, benefits, and alternatives;
- Contraindication and adverse reaction warnings;
- Emergency care instructions;
- Follow-up instructions.
The Practitioner must not rely solely on Portal-provided consent forms or notices if additional consent is required by law, professional standards, regulatory bodies, or clinic policies.
10. Patient and Purchaser Responsibilities
Patients and purchasers using the Portal or receiving an order link through the Portal agree to:
- Provide accurate, complete, and current information;
- Inform the Practitioner of relevant medical history, allergies, medications, pregnancy or breastfeeding status, existing conditions, and other health information;
- Review product information, cautions, contraindications, and usage instructions before using any product;
- Follow the Practitioner’s instructions;
- Seek clarification from the Practitioner if they do not understand the prescription, dosage, or usage instructions;
- Stop using a product and seek medical advice if adverse reactions occur;
- Use the Portal only for lawful purposes.
Patients and purchasers understand that healthcare decisions, herbal products, medications, supplements, and treatment plans may involve risk and that outcomes may vary.
11. Product Information Disclaimer
Product descriptions, ingredient lists, traditional uses, benefits, cautions, clinical references, images, dosage references, and other product-related information may be provided by suppliers, manufacturers, practitioners, or third parties.
aiCurePath does not guarantee that product information is complete, accurate, current, suitable, error-free, or approved by any regulatory authority.
Practitioners are responsible for independently reviewing product information, ingredients, cautions, contraindications, patient suitability, and applicable regulatory requirements before prescribing or recommending any product.
12. Independent Suppliers and Fulfillment Providers
Products prescribed or ordered through the Portal may be supplied and fulfilled by independent suppliers, pharmacies, herbal product providers, manufacturers, distributors, or fulfillment service providers.
Suppliers and fulfillment providers are not employees, agents, representatives, or partners of aiCurePath unless expressly stated in a written agreement signed by aiCurePath.
Each supplier or fulfillment provider is solely responsible for:
- Product sourcing;
- Product quality and safety;
- Product authenticity;
- Product storage and handling;
- Product labeling and packaging;
- Product availability;
- Product regulatory compliance;
- Product recalls and warnings;
- Shipping, delivery, pickup, or fulfillment;
- Customer support related to product fulfillment.
aiCurePath does not manufacture, import, test, inspect, certify, store, package, dispense, or deliver products supplied by independent suppliers.
13. No Product Warranty by aiCurePath
To the fullest extent permitted by law, aiCurePath makes no representations or warranties regarding:
- Product quality;
- Product safety;
- Product effectiveness;
- Product authenticity;
- Product suitability;
- Product legality;
- Product availability;
- Product delivery time;
- Product labeling accuracy;
- Product regulatory status.
Any warranty, guarantee, representation, or claim relating to a product is the sole responsibility of the applicable supplier, manufacturer, or fulfillment provider.
14. Prescription-Only and Practitioner-Directed Orders
Products available through the Portal may be prescription-only, practitioner-only, or practitioner-directed products.
For prescription-related orders:
- The Practitioner is solely responsible for issuing the prescription, recommendation, or authorization;
- The Patient or purchaser is responsible for deciding whether to proceed with the purchase;
- The supplier or fulfillment provider is responsible for fulfilling the product order;
- aiCurePath is responsible only for providing technology tools to help transmit the order, coordinate communications, and facilitate payment processing.
aiCurePath does not review, approve, endorse, verify, or guarantee any prescription, treatment plan, formula, dosage, contraindication review, practitioner recommendation, or product selection.
15. AI-Assisted Tools Disclaimer
The Portal may include AI-assisted tools, wellness assessments, educational materials, product references, clinical support tools, herbal formula support, or other automated content.
AI-generated content is provided for informational and support purposes only.
AI-generated content:
- Does not constitute medical advice;
- Does not diagnose, treat, cure, or prevent disease;
- Does not replace professional judgment;
- Does not establish a practitioner-patient relationship;
- May be incomplete, inaccurate, outdated, or unsuitable for a specific patient;
- Must be independently reviewed and verified by the Practitioner.
All final clinical decisions remain solely the responsibility of the Practitioner.
Patients should not rely on AI-generated information as a substitute for professional healthcare advice.
16. Payment Processing
The Portal may facilitate payment processing through third-party payment processors, including but not limited to Stripe, Shopify, or other payment providers.
By completing a transaction, the Patient, purchaser, Practitioner, or other user agrees to the applicable payment processor’s terms, policies, and privacy practices.
aiCurePath may receive technology service fees, platform fees, transaction fees, commissions, or other fees related to Portal transactions.
aiCurePath is not responsible for payment processor errors, declined payments, delays, chargebacks, account restrictions, third-party fees, currency conversion, or other payment processing issues caused by third-party payment providers.
17. Shipping, Delivery, and Fulfillment
Shipping, delivery, pickup, dispensing, packaging, and fulfillment services are provided by suppliers, pharmacies, product vendors, fulfillment providers, or third-party logistics providers, as applicable.
aiCurePath is not responsible for:
- Shipping delays;
- Lost shipments;
- Damaged shipments;
- Incorrect deliveries;
- Failed deliveries;
- Customs issues;
- Import or export restrictions;
- Transportation interruptions;
- Supplier fulfillment errors;
- Product substitution issues unless expressly caused by aiCurePath’s own technology error.
Any shipping, fulfillment, or delivery-related dispute should be resolved directly with the applicable supplier, fulfillment provider, or logistics provider.
18. Returns, Refunds, and Cancellations
Return, refund, exchange, and cancellation policies may vary depending on the supplier, product type, prescription status, health and safety rules, and applicable law.
Certain products, including medications, herbal products, supplements, prescription-related products, opened products, customized formulas, perishable items, or health-sensitive goods, may not be eligible for return or refund.
aiCurePath may assist with communication between users, practitioners, and suppliers, but does not guarantee that a refund, return, exchange, or cancellation will be approved.
19. Health Canada and Regulatory Disclaimer
Information displayed on the Portal, including herbal medicine descriptions, traditional uses, benefits, clinical references, product cautions, and dosage references, may not have been reviewed or approved by Health Canada or any other regulatory authority.
Statements regarding herbal products, supplements, Traditional Chinese Medicine products, wellness products, or related products are not intended to diagnose, treat, cure, or prevent any disease unless specifically authorized under applicable law.
Practitioners, suppliers, patients, and purchasers are responsible for ensuring that any product prescribed, recommended, supplied, purchased, or used is appropriate for the relevant circumstances and compliant with applicable laws.
20. Emergency Medical Disclaimer
The Portal is not intended for emergency medical care.
Do not use the Portal for urgent or life-threatening medical situations.
In an emergency, call 911 immediately or go to the nearest emergency department.
21. Medical Records and Documentation
Practitioners are responsible for maintaining appropriate clinical records in accordance with applicable laws, regulatory requirements, professional standards, and clinic policies.
Records may include:
- Patient intake information;
- Assessment notes;
- Diagnosis or TCM pattern identification;
- Treatment plan;
- Prescription details;
- Product recommendations;
- Dosage and usage instructions;
- Patient consent;
- Follow-up notes;
- Adverse event reports;
- Communications related to care.
The Practitioner is solely responsible for the accuracy, completeness, retention, confidentiality, and lawful handling of professional records.
22. Adverse Events and Patient Safety
Practitioners must take appropriate action if they become aware of any adverse reaction, patient complaint, product concern, safety concern, or clinical risk related to a prescription or recommendation made through the Portal.
Practitioners must promptly advise the Patient to seek appropriate medical care where necessary.
Practitioners and suppliers must notify aiCurePath of serious safety concerns, product-related issues, adverse events, or fulfillment concerns where notice is necessary for patient safety, platform compliance, supplier investigation, or legal requirements.
23. User Conduct
Users of the Portal agree not to:
- Use the Portal for unlawful purposes;
- Misrepresent professional credentials or patient information;
- Provide false, incomplete, or misleading information;
- Issue prescriptions outside professional scope of practice;
- Make unauthorized claims about products, cures, or guaranteed outcomes;
- Misuse patient information;
- Interfere with Portal operations or security;
- Copy, scrape, reverse engineer, or exploit the Portal;
- Circumvent the Portal’s payment or order processing system;
- Use the Portal in a manner that creates health, safety, legal, privacy, security, or operational risk.
aiCurePath may suspend or terminate access if it reasonably believes a user’s conduct creates risk to patients, practitioners, suppliers, aiCurePath, or the Portal.
24. Privacy and Confidentiality
User information is collected, used, stored, and disclosed in accordance with the aiCurePath Privacy Policy and applicable privacy laws.
Depending on the nature of the services, information may include account information, practitioner information, patient-related information, prescription-related information, order information, payment information, communications, and technical usage data.
Practitioners and suppliers must protect patient information, personal information, health information, prescription information, and Portal-related confidential information in accordance with applicable privacy laws and professional obligations.
Users must not access, use, disclose, download, copy, or share patient information except as necessary for lawful clinical care, prescription processing, order fulfillment, patient communication, or legal compliance.
25. Suspension, Restriction, and Termination
aiCurePath may suspend, restrict, or terminate access to the Portal if aiCurePath believes that a user, Practitioner, supplier, or other participant:
- Violates these Terms;
- Misuses the Portal;
- Provides false, incomplete, or misleading information;
- Engages in unlawful, unsafe, or fraudulent activity;
- Creates health, safety, compliance, privacy, security, reputational, or operational risks;
- Violates professional, licensing, or regulatory requirements;
- Has an expired, suspended, restricted, or revoked license;
- Has an insurance lapse;
- Creates patient safety concerns;
- Causes repeated complaints or fulfillment issues;
- Harms patients, users, practitioners, suppliers, aiCurePath, or the Portal.
aiCurePath may also remove product listings, disable prescription functions, restrict transactions, suspend accounts, or pause services where required for compliance, safety, legal, or operational reasons.
26. Limitation of Liability
To the maximum extent permitted by applicable law, aiCurePath shall not be liable for any claims, losses, damages, injuries, costs, or expenses arising from or related to:
- Medical decisions;
- Practitioner negligence or misconduct;
- Diagnostic errors;
- Prescription errors;
- Treatment outcomes;
- Herbal formula selection;
- Dosage decisions;
- Contraindication failures;
- Drug-herb interaction issues;
- Patient adverse reactions;
- Patient non-compliance;
- Product defects;
- Product misuse;
- Product quality issues;
- Product recalls;
- Supplier misconduct;
- Fulfillment errors;
- Shipping failures, delays, or damaged deliveries;
- Payment processing errors;
- AI-generated content;
- User reliance on educational, product, or herbal information;
- Indirect, incidental, special, punitive, or consequential damages;
- Loss of profits, revenue, data, goodwill, or business opportunity.
To the fullest extent permitted by law, aiCurePath’s total liability for any claim shall be limited to the amount of technology or platform fees paid directly to aiCurePath for the specific transaction giving rise to the claim. Where no such fee was paid directly to aiCurePath for the specific transaction, aiCurePath’s liability shall be limited to the maximum extent permitted by applicable law.
27. Indemnification
You agree to indemnify, defend, and hold harmless aiCurePath, its directors, officers, employees, contractors, affiliates, service providers, and representatives from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or related to:
- Your use of the Portal;
- Your breach of these Terms;
- Your violation of applicable law;
- Your misuse of products or services;
- Your failure to provide accurate health, account, delivery, payment, or professional information;
- Your unauthorized access to or use of patient information.
Practitioners further agree to indemnify aiCurePath for claims arising from their professional services, prescriptions, treatment recommendations, negligence, malpractice allegations, regulatory non-compliance, breach of professional duties, failure to obtain informed consent, privacy breaches, or failure to comply with applicable laws.
Suppliers and fulfillment providers further agree to indemnify aiCurePath for claims arising from product defects, product quality, product safety, product labeling, fulfillment errors, shipping errors, recalls, regulatory non-compliance, privacy breaches, or supplier misconduct.
28. Intellectual Property
The Portal, including its software, branding, content, design, user interface, logos, graphics, text, workflows, technology, and business processes, is owned by or licensed to aiCurePath and is protected by applicable intellectual property laws.
Users may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, scrape, exploit, or create derivative works from the Portal except as expressly permitted by aiCurePath in writing.
29. Changes to the Portal or Terms
aiCurePath may update, modify, suspend, or discontinue any part of the Portal at any time.
aiCurePath may also update these Terms from time to time.
Updated Terms will become effective when posted on the Portal unless a later effective date is stated.
Your continued access to or use of the Portal after updated Terms are posted means you accept and agree to the updated Terms.
30. Dispute Resolution
The parties agree to first attempt to resolve any dispute through good-faith negotiation.
If the dispute cannot be resolved informally, the parties agree to submit the dispute to mediation in Ontario, Canada.
If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in Ontario, Canada, unless applicable law requires otherwise.
Nothing in this section prevents aiCurePath from seeking injunctive or equitable relief where necessary to protect patient safety, confidential information, intellectual property, platform security, or legal compliance.
31. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.
Any legal proceeding that is not subject to arbitration shall be brought in the courts of Ontario, Canada, unless applicable law requires otherwise.
32. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where permitted by law.
33. Entire Agreement
These Terms, together with any applicable Privacy Policy, Practitioner Prescription Responsibility Agreement, supplier or fulfillment provider agreement, checkout notices, product notices, and platform policies incorporated by reference, constitute the entire agreement between you and aiCurePath regarding your use of the Prescription Portal.
If there is any conflict between these Terms and a signed Practitioner Prescription Responsibility Agreement, the Practitioner Prescription Responsibility Agreement shall govern with respect to practitioner clinical responsibility and prescription-related obligations.
34. Final Acceptance
By accessing, browsing, registering for, prescribing through, placing an order through, purchasing through, or continuing to use the aiCurePath Prescription Portal, you confirm that you have read, understood, and agreed to these Terms of Service and Disclaimer.
You further acknowledge that:
- aiCurePath is a technology platform only;
- This website is not a public marketplace;
- The Portal is intended for practitioner-directed prescription and order support;
- Healthcare services and prescriptions are provided solely by independent licensed Practitioners;
- Products are supplied and fulfilled by independent suppliers or fulfillment providers;
- aiCurePath does not provide medical advice, prescribe products, manufacture products, guarantee product quality, or assume responsibility for treatment outcomes, product use, or delivery issues.
Your continued use of the Portal means you fully accept and agree to be bound by these Terms.
If you do not agree, you must discontinue use of the Portal immediately.
